CMDI Terms of Service

1. Agreement to These Terms
By accessing or using the website located at CMDI.com (the "Site") or any services, features, or content offered through the Site (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, you must not access or use the Site or Services. These Terms apply to all visitors, registered users, and anyone else who accesses or uses the Site.
2. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email or a prominent notice on the Site.
Your continued use of the Site after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.
3. Use of the Site
3.1 Eligibility
You must be at least 13 years of age to use the Site. If you are under 18, you represent that you have the consent of a parent or legal guardian to use the Site and agree to these Terms. By using the Site, you represent and warrant that you meet these eligibility requirements.
3.2 Account Registration
Some features of the Site may require you to create an account. When you register, you agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at support@cmdi.com if you suspect unauthorized use of your account.
3.3 Acceptable Use
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:
Violate any applicable local, state, national, or international law or regulation
Transmit any content that is unlawful, harmful, harassing, defamatory, obscene, or otherwise objectionable
Impersonate any person or entity or falsely represent your affiliation with any person or entity
Attempt to gain unauthorized access to any part of the Site, server, or network connected to the Site
Use any automated means, including bots, scrapers, or crawlers, to access or collect data from the Site without our express written permission
Upload or transmit viruses, malicious code, or any other harmful technology
Interfere with or disrupt the integrity or performance of the Site or its related systems
Collect or harvest any personally identifiable information from the Site without authorization
4. Intellectual Property
4.1 Our Content
All content on the Site, including text, graphics, logos, images, audio clips, video, software, and the compilation of all such content (collectively, "Content"), is the property of CMDI or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, display, or create derivative works from our Content without our prior written permission.
4.2 Limited License to You
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content for your personal, non-commercial use. This license does not include the right to resell or commercially exploit any Content, download or copy account information for the benefit of another party, or use data mining or similar data extraction tools.
4.3 Your Content
If you submit, post, or transmit any content through the Site ("User Content"), you retain ownership of that content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and our business operations.
You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate the rights of any third party.
4.4 Copyright Infringement (DMCA)
We respect intellectual property rights. If you believe any Content on the Site infringes your copyright, please send a written notice to our designated DMCA agent at dmilton@cmdi.com that includes: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the Site; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury of the accuracy of the information and your authorization to act.
5. Third-Party Links and Content
The Site may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.
The inclusion of any link does not imply our endorsement of the linked site. We disclaim any liability for content on third-party sites or for damages or loss caused by your use of such sites.
6. Privacy
Your use of the Site is also governed by our Privacy Policy, available at CMDI.com/privacy-policy. Our Privacy Policy describes how we collect, use, and share information about you when you use the Site. By using the Site, you agree to the collection and use of information as described in our Privacy Policy.
7. SMS and Text Message Communications
7.1 SMS for Multi-Factor Authentication
CMDI may offer SMS-based multi-factor authentication (MFA) as a security feature for account access. By enabling SMS MFA, you consent to receive automated one-time passcode (OTP) text messages from CMDI to the mobile phone number you provide. These messages are sent solely for the purpose of verifying your identity during login or account changes and are not marketing messages.
7.2 Consent and Opt-In
By providing your mobile phone number and enabling SMS MFA, you represent that: (a) you are the account holder or have the account holder's permission to use that number; (b) you consent to receive automated text messages from CMDI at that number; and (c) your mobile carrier's standard message and data rates may apply.
7.3 Opting Out
SMS MFA messages are transactional in nature and are tied to account security. Because these messages are required to authenticate your identity, you cannot opt out of them while SMS MFA is enabled on your account. To stop receiving SMS authentication messages, you may disable SMS MFA in your account settings and select an alternative authentication method. Disabling SMS MFA may affect your ability to access certain features of the Services.
7.4 Message Frequency and Carriers
Message frequency varies based on your account activity. CMDI is not responsible for any delays or failures in delivery of SMS messages caused by your mobile carrier, network conditions, or factors outside our control. Not all mobile carriers are supported. If you experience issues receiving SMS messages, contact your carrier or reach out to us at support@cmdi.com.
7.5 No Liability for Unauthorized Access via SMS
You are responsible for maintaining control of your registered mobile device and phone number. CMDI is not liable for unauthorized account access resulting from a third party obtaining your SMS verification codes. If your registered phone number changes or your device is lost or stolen, you must update your account information immediately and contact us at support@cmdi.com.
7.6 TCPA Compliance
CMDI's SMS communications comply with the Telephone Consumer Protection Act (TCPA) and applicable FCC regulations. SMS MFA messages constitute transactional communications and are not subject to the same opt-in requirements as promotional text messages. However, CMDI does not use SMS for unsolicited marketing communications without your separate, explicit consent.
8. Disclaimers
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information on the Site. Any reliance you place on such information is strictly at your own risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CMDI, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to defend, indemnify, and hold harmless CMDI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Site, your User Content, or your violation of any third-party rights.
11. Termination
We reserve the right to suspend or terminate your access to the Site or any part of it at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason at our sole discretion.
Upon termination, your right to use the Site will immediately cease. Sections 4, 7, 8, 9, 11, and 12 of these Terms survive termination.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Virginia, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or your use of the Site that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Virginia or, at your election, by telephone or video conference.
YOU AND CMDI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
13. General Provisions
13.1 Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and CMDI regarding your use of the Site and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver of any specific breach does not constitute a waiver of any future breach.
13.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
13.5 Force Majeure
We will not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, or internet or communications failures.
13.6 Electronic Communications
By using the Site, you consent to receive communications from us electronically. We may communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
